1. The Operator; Acceptance; Relationship to Other Terms
These Points Program Terms (these “Program Terms”) govern the RealFi points and rewards program (the “Program”), under which eligible participants may be allocated points or similar units (“Points” and, during the Testnet, “R-Points”) for qualifying activity. The Program is operated by RealFi GP (the “Operator”) together with other independent third parties. The Program is not operated by the operator of the RealFi website or App (the “Company”), whose interface merely displays Program data; the Company’s Terms of Service, including Section 1.6 (Points and Rewards), apply to your use of that interface. By participating in the Program, linking a wallet, or claiming or holding Points, you agree to these Program Terms. These Program Terms are the “separate published program terms” referred to in the Terms of Service, and control as to the Program.
2. Definitions

3. Nature of Points; No Value; No Transfer
Points are promotional loyalty units only. Points: (a) have no monetary or cash value and are not redeemable for cash or any asset except as expressly and conditionally provided in these Program Terms; (b) are not transferable, tradeable, assignable or chargeable, and any purported transfer is void; (c) are not deposits, securities, derivatives, e-money or any other regulated instrument, and are not marketed as an investment; (d) do not accrue interest or yield; and (e) confer no governance, ownership, dividend or other right in the Operator, the Company, the RealFi Foundation, any issuer, any fund, token or asset. Your Points balance is a bookkeeping entry in the Operator’s systems and may be corrected at any time for error. Points are not your property.
4. Eligibility
Participation is open only to persons who: (a) are at least 18 years old; (b) are not Prohibited Persons and are not located, organized or resident in a Prohibited Jurisdiction; (c) comply with the RealFi Terms of Service and these Program Terms; and (d) where required, complete identity verification under the KYC / KYB and Customer Due Diligence Policy. Retail participation in the Testnet requires wallet connection only. The Operator may exclude any person, wallet or activity from the Program at any time in its discretion, including wallets designated for direct RFG arrangements, which are excluded from the points engine to prevent duplicate rewards. Circumvention of geofencing, account limits or screening controls is a material breach and grounds for exclusion and forfeiture.
5. Earning Points — Testnet Phase (Season 0 – ”Pioneer Season”)
During the Testnet, participants earn flat, fixed R-Points for designated actions, subject to per-Season caps. Points do not scale with transaction amount during the Testnet, and no multipliers apply. The specific actions that qualify for R-Points in a Season, together with the applicable award amounts and per-Season caps, are set by the Operator and published in the App or the Documentation. Awards are fixed rather than proportional to transaction size, are credited in whole numbers, and are subject to per-Season and per-action caps. The Operator may add, remove, re-rate or cap any qualifying action, and may adjust any award or cap, prospectively at any time. No action, award or cap is guaranteed, and nothing in the App or the Documentation creates an entitlement to any Point or award. Once an action reaches its cap, further actions earn zero. Points are credited in whole numbers, in periodic batches (currently 24-hour), and are tagged to the Season in which they are earned. Testnet tokens and balances have no monetary or economic value, as stated in Section 1.2 of the Terms of Service.
6. Earning Points — Mainnet Phase
Following Mainnet launch, Points accrue under a multiplier model applied to the US dollar value of qualifying positions and events across the RealFi App and designated integrated venues (currently Liqwid, SundaeSwap and Pulse). One-time events (for example minting USDr against designated collateral) earn the published one-time multiplier applied to the minted USD value. Perpetual positions (for example holding, supplying, borrowing or providing liquidity) accrue daily, and only where the position remains in the venue for the full accrual day as measured by the Operator’s tracking methodology. Multipliers vary by action, venue, asset and Season; the published schedule in the App or Documentation is the operative schedule. The Operator may add, remove or re-rate any action, venue or multiplier prospectively at any time. Where a participant holds positions across multiple venues, each position is tracked and scored separately and the results are summed. Mainnet accrual may be supplemented by one-time bounties, referral bonuses, governance participation awards and time-weighted loyalty bonuses, each as published for the relevant Season.
7. Provisional Status; Finalisation; Adjustment and Revocation
All Points are Provisional Points when credited. Provisional Points become Finalised Points only on Season finalisation, after anti-Sybil, integrity and accuracy review. The Operator may, at any time before Points have converted into RFG delivered to a participant’s wallet, and in its sole discretion: (a) adjust, reduce, reverse or revoke any Points, including retroactively; (b) reclassify any account as Suspicious or Malicious and zero the unvested Points of Malicious accounts; (c) apply penalties to Points earned through activity patterns that the Operator determines are consistent with farming, coordination or manipulation; and (d) correct errors in crediting or calculation. Threshold values, scoring heuristics and detection parameters used in integrity review are maintained internally, are not published, and may change between Seasons without announcement. The Operator’s determinations under this Section are final.
8. Vesting — Mainnet Holding Requirement
Finalised Points earned during the Testnet vest, and become eligible for conversion, only if the participant satisfies the Mainnet real-money participation requirement: Wallet linking. The participant must link their Cardano preprod testnet account 1:1 to a Cardano mainnet Anchor Address through the dual-signature process, and may optionally link non-Cardano mainnet addresses (EVM, Solana, Avalanche) to that anchor. The preprod-to-anchor link is locked from establishment until RFG distribution and cannot be changed during that window. Vesting is further conditioned on the Anchor Address having held a crypto balance before the public announcement of the incentivised Testnet, as determined by snapshot.
Vesting requirement. Finalised Testnet Points vest only if your linked wallet holds at least a minimum qualifying balance, set by the Operator and initially US$100, or the equivalent in designated DeFi positions, whenever the Operator verifies it during the post-Mainnet launch period. The Operator verifies wallets at times and by methods it does not announce in advance, sets and may change the thresholds and frequency by Season, and vests Points in proportion to the verifications your wallet satisfies. A wallet that satisfies every verification vests in full. Points that fail to vest are forfeited without compensation. This vesting requirement replaces any previously communicated continuous holding requirement in its entirety.
9. Conversion into RFG
The Operator presently intends that vested Finalised Points will convert into RFG at a discretionary rate, with RFG distribution currently targeted for Q4 2026 (subject to change) to participants’ Anchor Addresses. However: (a) conversion is conditional on the participant’s continuing eligibility, on completion of integrity review, and on conversion being lawful in the participant’s jurisdiction; (b) the conversion rate, timing and mechanics may be changed by the Operator at any time before distribution; (c) any display of an indicative RFG equivalent is an illustration only, is not an offer, promise or valuation, and is always subject to these Program Terms; and (d) no person acquires any right to RFG, contractual or otherwise, unless and until RFG is actually delivered to that person’s Anchor Address. The Operator may withhold conversion for any wallet pending investigation, and may deny conversion to any wallet determined to have breached these Program Terms or the Terms of Service. RFG is a governance token; it is not offered or promoted as an investment, its value is not guaranteed and may be zero, and no representation is made as to any market for RFG.
10. Anti-Sybil and Integrity Measures; Consent to Monitoring
The Program operates integrity controls, which include: bot detection and behavioral analysis at the wallet linking entry point (including CAPTCHA injection for suspicious sessions); capture of IP address, browser fingerprint and device metadata at wallet connection; limits on accounts per device or fingerprint; pre-flagging of known VPN IP ranges; manual and automated account flagging (Active, Suspicious, Malicious); blacklist management; wallet clustering analysis; behavioral pattern penalties; and observation of linked-wallet balances and positions at unannounced randomised snapshot times. Processing of personal data in connection with these controls is described in the Privacy Policy.
11. Prohibited Conduct
You must not, in connection with the Program: use bots, scripts or other automated means to generate, farm or inflate Points; create or control multiple accounts, wallets or identities to earn Points beyond the limits applicable to a single participant, or rotate capital across wallets to simulate qualifying balances; misrepresent your identity, location or eligibility, or circumvent geofencing, KYC, KYB or sanctions controls; exploit any vulnerability, bug or unintended behavior of the protocol other than through responsible disclosure under the bug reporting process; engage in wash trading, self-dealing or collusive referral arrangements; or interfere with any anti-fraud, anti-Sybil or monitoring system. Breach entitles the Operator, without notice and without limiting other remedies, to flag, suspend or exclude any account, to withhold, adjust or revoke unconverted Points, and to disqualify any wallet from vesting or conversion.
12. Program Changes; Suspension; Termination
The Program is a discretionary promotional program. The Operator may amend, suspend or terminate the Program, any Season, any earning rule, cap, multiplier, vesting condition or conversion mechanic, in whole or in part, at any time, with or without notice. Where reasonably practicable, material changes will be applied prospectively and communicated through the App or the Documentation, but the Operator reserves the right to act retroactively where required to address fraud, manipulation, error, or legal or regulatory requirements. Termination of the Program extinguishes all unconverted Points without compensation, except where the Operator elects otherwise.
13. Taxes
You are solely responsible for determining and discharging any tax obligations arising from your participation in the Program, the accrual or vesting of Points, the conversion of Points into RFG, and any subsequent dealing in RFG, in every relevant jurisdiction. The Operator may report information and withhold amounts where required by law. The tax characterisation of Points and of any conversion is uncertain and may be adverse; neither the Operator nor any affiliate provides tax advice.
14. Disclaimers; Limitation of Liability
THE PROGRAM AND THE POINTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER THE OPERATOR NOR ANY OF ITS AFFILIATES, NOR THE COMPANY, WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, TOKENS, POINTS, DATA OR GOODWILL, AND NO SUCH PERSON WILL BE LIABLE FOR ANY DECISION TO AWARD, WITHHOLD, ADJUST, REVOKE OR DECLINE TO CONVERT POINTS, FOR ANY CHANGE TO OR TERMINATION OF THE PROGRAM, OR FOR THE VALUE, LIQUIDITY OR EXISTENCE OF RFG. THE AGGREGATE LIABILITY OF THE OPERATOR AND ITS AFFILIATES FOR ALL CLAIMS ARISING OUT OF THE PROGRAM WILL NOT EXCEED ONE HUNDRED US DOLLARS (US$100). Nothing in these Program Terms excludes or limits any liability that cannot be excluded or limited under applicable law, and if any exclusion or the cap above is held unenforceable, it applies to the maximum extent the law allows. You will indemnify the Operator, its affiliates and the Company against losses arising from your breach of these Program Terms, your Sybil or manipulative activity, or your violation of law.
15. Governing Law; Arbitration; Class Action Waiver
These Program Terms are governed by the laws of the British Virgin Islands, without regard to conflict-of-laws rules. In the event of any dispute, the parties will first make a good-faith, sustained effort to resolve it informally, allowing the receiving party 30 days to respond; this is a condition precedent to arbitration. Any remaining dispute, controversy or claim relating in any way to the Program or the Points, including threshold questions of arbitrability, will be resolved by arbitration under the BVI IAC Arbitration Rules, by three arbitrators appointed in accordance with those Rules, in English, on an individual basis. CLASS ARBITRATIONS AND CLASS ACTIONS ARE NOT PERMITTED, AND YOU AND THE OPERATOR EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN ANY CLASS, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. This Section mirrors, and is intended to be construed consistently with, Section 8 of the RealFi Terms of Service; the Company and the Operator’s affiliates are intended third-party beneficiaries of this Section.
16. Acknowledgements
By participating you acknowledge that: Points may never convert into RFG; any conversion is conditional and discretionary as set out above; you have no expectation of profit from the efforts of the Operator, the Company or any other person in respect of Points; the Program may change or end at any time; and you participate to test and use the protocol, not as an investment.
